These terms govern your access to and use of CompStack. Where you have a separate signed order form, that order form controls on conflicts.
Plain-English summary
You agree to use CompStack legally and not abuse the service. We agree to deliver it reliably and protect your data. Either side can terminate at renewal. Disputes are resolved through arbitration.
The agreement
By creating an account or being added to a CompStack tenant, you agree to these terms on behalf of yourself and your organization. If you’re an admin who signed an order form (Group tier), the order form prevails on conflicts.
The agreement is governed by Kenyan law unless otherwise specified in your order form.
The service
CompStack provides a hosted Integrated Management System (IMS) accessed via web and mobile. Features available depend on your subscription tier, see /pricing.
We aim for 99.9% monthly uptime. Group tier customers receive contractual SLA terms with credits.
Fees & payment
Subscription fees are billed in advance, annually for paid tiers. Module licenses are billed separately.
Late payment beyond 30 days may pause service. We’ll notify you before any interruption. Disputed amounts must be raised within 30 days of invoice.
Your content
You own the content you upload (requirements scoping, documents, evidence, audits, CAPAs, risks, etc.). You grant us only the rights needed to host, process, and deliver the service to you.
You’re responsible for the legality of what you upload and for accuracy.
AI Copilot use
The Copilot processes only your tenant data and only when you initiate an action. It does not train any AI model.
AI proposals require human approval before they change records. You’re responsible for reviewing and approving AI-generated content; we provide the citations and audit trail to make that review possible.
Acceptable use
Don’t use CompStack to host illegal content, attempt to compromise security, or interfere with other tenants. Don’t reverse-engineer the service or scrape it systematically. Don’t use the AI Copilot for purposes that violate our model providers’ usage policies.
If you believe your account has been compromised, write to security@compstack.io immediately.
Termination
You can cancel at any subscription renewal. We can terminate for material breach with 30 days notice unless safety/security requires immediate action.
On termination, you have 30 days to export your data; after that we crypto-shred your tenant.
Warranty & liability
The service is provided “as is” with the warranties stated in your order form (or the implied warranties applicable in your jurisdiction). We don’t guarantee audit outcomes, those depend on your work.
Our aggregate liability is capped at the fees you paid in the 12 months prior to the claim, except where law prohibits such limitation.
Disputes
We’ll try to resolve disputes informally first. Failing that, disputes are resolved by binding arbitration in Nairobi under the Nairobi Centre for International Arbitration rules (or the venue specified in your order form).
Changes
We update these terms as the service evolves. Material changes are notified at least 30 days in advance. Continued use after the effective date counts as acceptance.
